1. Agreement to Terms

Byaccessing or using the website at agenticsol.io (the "Site") or anyservices, consulting engagements, AI agent deployments, software, or relatedofferings provided by Agentic Solutions (a subsidiary of Secure BlockchainDevelopment Corp.) ("we," "us," or "our"), you("you" or "Client") agree to be bound by these Terms &Conditions. If you do not agree to these terms, you must not use our Site orservices.

2. Services

AgenticSolutions provides AI agent development, deployment, and consulting services,including but not limited to: custom AI agent design and build on the elizaOSframework; integration of agents into client systems (CRM, ERP, Slack, email,and other platforms); team training and enablement; ongoing support, governancereviews, and model optimization; and optional blockchain and AI yield servicesfor qualifying finance and crypto clients.

Thespecific scope, deliverables, timeline, and fees for any engagement will be setout in a separate Statement of Work (SOW) or service agreement executed betweenyou and us.

3. Client Obligations

Youagree to: provide timely and accurate information, data, and access to systemsnecessary for us to perform the services; designate a primary point of contactwith authority to make decisions related to the engagement; ensure that anydata or content you provide to us does not violate any applicable law orinfringe any third-party rights; and pay all fees in accordance with the agreedpayment terms.

4. Intellectual Property

4.1 Our IP

Allproprietary tools, frameworks, methodologies, agent architectures, andpre-existing intellectual property used or developed by Agentic Solutionsremain our exclusive property. This includes any underlying agent templates,libraries, or modules built on the elizaOS framework. Nothing in these Termstransfers ownership of our pre-existing IP to you.

4.2 Client IP

Youretain ownership of your data, brand assets, and any pre-existing intellectualproperty you provide to us in connection with the services.

4.3 Deliverables

Unlessotherwise specified in a SOW, upon full payment, you will receive anon-exclusive, perpetual license to use the custom-configured agents anddeliverables created specifically for your engagement. We retain the right toreuse general knowledge, techniques, and non-client-specific components.

5. Fees and Payment

Feesfor our services will be outlined in the applicable SOW or proposal. Unlessotherwise agreed, invoices are due within 30 days of the invoice date. Latepayments may incur interest at a rate of 1.5% per month or the maximum ratepermitted by law, whichever is lower. We reserve the right to suspend servicesif payment is more than 15 days overdue.

6. Confidentiality

Eachparty agrees to keep confidential any non-public information disclosed by theother party in connection with the services, including business plans, data,technical specifications, and pricing. Confidential information shall not bedisclosed to third parties without prior written consent, except as required bylaw or to professional advisors bound by confidentiality obligations. Thisobligation survives termination of these Terms for a period of two years.

7. Data and Security

Wetake reasonable technical and organizational measures to protect client data inour possession. Agents are deployed within your existing infrastructurewherever possible, minimizing data exposure. However, we do not guaranteeabsolute security and shall not be liable for breaches resulting from factorsbeyond our reasonable control. You are responsible for maintaining security ofyour own systems, credentials, and access controls.

8. Disclaimer of Warranties

OurSite and services are provided on an "as is" and "asavailable" basis. To the fullest extent permitted by law, we disclaim allwarranties, express or implied, including warranties of merchantability,fitness for a particular purpose, accuracy, and non-infringement. We do notwarrant that AI agents will operate without error or interruption, or that theresults achieved will meet your specific expectations. AI systems involveinherent uncertainty, and outputs should be reviewed and validated by qualifiedpersonnel.

9. Limitation of Liability

Tothe maximum extent permitted by law, Agentic Solutions, its officers,directors, employees, and advisors shall not be liable for any indirect,incidental, special, consequential, or punitive damages, including loss ofprofits, revenue, data, or business opportunity, arising out of or related tothese Terms or the services, regardless of the theory of liability. Our totalaggregate liability for any claims arising under these Terms shall not exceedthe fees actually paid by you to us in the twelve months preceding the claim.

10. Indemnification

Youagree to indemnify, defend, and hold harmless Agentic Solutions and itsofficers, directors, employees, and advisors from any third-party claims,losses, damages, liabilities, and expenses (including reasonable legal fees)arising from: your breach of these Terms; your use of the services ordeliverables; any data or content you provide to us; or your violation of anyapplicable law or third-party rights.

11. Term and Termination

TheseTerms remain in effect for as long as you use our Site or services. Eitherparty may terminate a service engagement as set out in the applicable SOW. Wemay suspend or terminate your access to the Site or services at any time if youbreach these Terms. Upon termination, you must cease using any deliverables forwhich payment has not been completed, and each party must return or destroy theother's confidential information upon request.

12. Blockchain & AI YieldServices

Certainoptional services involve blockchain-based yield strategies or on-chain AIagent capabilities. These services are offered exclusively to qualifyingfinance and crypto clients and carry additional risks, including but notlimited to: market volatility, smart contract vulnerabilities, regulatoryuncertainty, and potential loss of digital assets. Participation is entirelyvoluntary. Past performance is not indicative of future results. You shouldseek independent financial and legal advice before engaging with theseservices.

13. Third-Party Services

Ourservices may integrate with or rely on third-party platforms, tools, APIs, orinfrastructure (including but not limited to the elizaOS framework). We are notresponsible for the availability, accuracy, or conduct of any third-partyservices, and their use may be subject to separate terms and conditions.

14. Governing Law and DisputeResolution

TheseTerms shall be governed by and construed in accordance with the laws of theProvince of British Columbia, Canada, without regard to conflict of lawprinciples. Any disputes arising out of or relating to these Terms shall firstbe attempted to be resolved through good-faith negotiation. If unresolvedwithin 30 days, disputes shall be submitted to binding arbitration inVancouver, British Columbia, under the rules of the British ColumbiaInternational Commercial Arbitration Centre.

15. General Provisions

EntireAgreement: These Terms, together with any applicable SOW and our PrivacyPolicy, constitute the entire agreement between you and us regarding thesubject matter hereof. Severability: If any provision of these Terms is foundto be unenforceable, the remaining provisions shall continue in full force andeffect. Assignment: You may not assign your rights under these Terms withoutour prior written consent. We may assign our rights and obligations freely.Amendments: We reserve the right to update these Terms at any time. Materialchanges will be posted on our Site, and your continued use of our servicesafter such changes constitutes acceptance. Waiver: No failure or delay byeither party in exercising any right shall constitute a waiver of that right.
